I. Introduction

These Terms of Use (collectively, the "Terms") constitute a legally binding agreement between you ("you", "your", or "user") and APERO TECHNOLOGIES GROUP PTE. LTD. ("we," "us," or "our"), operating under the brand name "Languoso: AI Language Tutor" ("Languoso"), concerning your access to and use of our website at languoso.ai (the "Website") and any subscription you purchase through the Website.

Please read these Terms carefully. By accessing the Website or purchasing a subscription through it, you indicate that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you must not use the Website or purchase through it.

II. Changes to This Agreement

We reserve the right, at our sole discretion, to modify these Terms at any time. We will keep you informed of changes by updating these Terms and the "Last updated" date above. Your continued use of the Website after any revised Terms are posted constitutes your acceptance of those changes.

To purchase a subscription through the Website, you must be at least eighteen (18) years of age, or the age of majority in your jurisdiction, and have the legal capacity to enter into a binding contract. If you are a minor in your jurisdiction, you may use the Website only with the permission and supervision of your parent or legal guardian.

III. General Terms

The Website and the associated service are intended for your personal, non-commercial use. You agree not to use the Website for any illegal, inappropriate, or unauthorized purpose.

IV. Privacy Policy

Your privacy is important to us. Our Website Privacy Policy explains how we collect, use, and store your information, including how payments are processed by our payment processor. By using the Website or purchasing through it, you acknowledge and accept our Website Privacy Policy.

V. Subscriptions, Billing, and Payments

1. Subscription Plans

Access to premium features requires a paid subscription. We offer weekly, monthly, and annual subscription plans. The applicable price, billing frequency, and renewal terms of the plan you select are presented to you at checkout before you complete your purchase.

2. Recurring Billing and Auto-Renewal

Your subscription is a recurring subscription that renews automatically. At the end of each billing period (weekly, monthly, or annual, as applicable), your subscription will automatically renew for another period of the same length at the then-current price, unless you cancel before the renewal date. By completing your purchase, you authorize us and our payment processor to charge the applicable recurring subscription fee to your selected payment method on each renewal date until you cancel.

3. Payment Processor

Payments on the Website are processed by Stripe, our third-party payment processor. Your payment card and billing details are collected and processed directly by Stripe in accordance with Stripe's own terms and privacy policy. We do not receive or store your full payment card number.

4. Agreement to These Terms at Checkout

When you complete your purchase, you confirm that you have read and agree to these Terms, including the recurring-billing and refund terms described in this Section. Your subscription is subject to these Terms as presented to you at the time of purchase.

5. Refunds and Cancellation

Refund commitment. You may request a full refund for any reason within six (6) days of the date of purchase. After the six (6)-day period, we will assist you in cancelling your subscription to prevent future renewals, but the amount already paid for the current period is non-refundable.

Timing. Your eligibility for a refund is determined by the date on which you submit your refund request, not the date on which we complete our review. A request submitted within the six (6)-day window remains eligible even if our processing concludes after that window closes.

You may submit a refund or cancellation request through any of the following channels:

Refund and cancellation process. When you submit a refund or cancellation request through the channels above, Languoso will receive and review the information provided by you and the plan(s) you are using, and will then respond to let you know whether your request can be processed (our review and response will take up to three (3) days). You will then confirm back to Languoso in accordance with the content of our email. The deadline for your confirmation is forty-eight (48) hours; if you do not respond within forty-eight (48) hours, your refund/cancellation request will be treated as withdrawn. Immediately after you confirm, Languoso will proceed to process the refund or cancellation. Please note that a refund may take from seven (7) to fifteen (15) days to appear, depending on your bank.

6. Purchase Confirmation and Account Email

Payments made through the Website are processed by Stripe. Following a successful payment, you will receive a payment receipt from our payment processor containing your transaction details and a support contact address. Your subscription account is linked to the email address you provide at the time of purchase, and we will send information relating to your subscription to that address.

Languoso is not responsible if you do not receive subscription-related information because you provided an incorrect email address, your mailbox is full, or due to any other technical issue on your side. If you provided an incorrect email address, you may contact Languoso at support@languoso.ai for assistance in updating your information.

7. Changes to Plans and Pricing

We reserve the right to change our subscription plans, features, or pricing at any time upon reasonable notice. Any change will not affect a subscription period for which you have already been charged.

VI. License and Intellectual Property

All intellectual property rights in the Website and the associated service, including copyrights, trademarks, trade secrets, source code, design, user interface, and content, are owned by APERO TECHNOLOGIES GROUP PTE. LTD. or its licensors. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the service for your personal, non-commercial purposes strictly in accordance with these Terms.

You agree not to sell, distribute, or commercially exploit any content; copy, modify, or create derivative works except as necessary for permitted use; reverse engineer or attempt to derive source code; or remove any proprietary notices.

We do not guarantee that the Website or service will be uninterrupted, timely, secure, or error-free. Your reliance on any information obtained through the service is at your own risk.

IX. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT OR INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN ANY WAY RELATED TO THE WEBSITE OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING ANY STATUTORY CONSUMER RIGHTS THAT APPLY TO YOU.

X. Account Management and Deletion

You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account. You may request deletion of your account and associated data at any time by contacting us at support@languoso.ai. We will process your request in accordance with our Privacy Policy and applicable law. Some data may be retained for a limited period as required by law or for legitimate business purposes.

XI. Indemnification

You agree to defend, indemnify, and hold harmless APERO TECHNOLOGIES GROUP PTE. LTD., its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website or service.

XII. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Singapore, and any dispute arising from or in connection with these Terms shall be referred to and finally resolved by arbitration administered by SIAC under SIAC Rules, seat Singapore, language English, one arbitrator. This does not deprive you of the protection of any mandatory consumer-protection provisions of the law of the country in which you reside.

XIII. Severability

If any provision of these Terms is or becomes illegal, invalid, or unenforceable, that provision shall be construed as narrowly as necessary to make it enforceable or, if that is not possible, severed, and the remaining provisions shall continue in full force and effect. You may not assign or transfer these Terms to any other person.
